Sarajevo Airport on POSKOK search: Amendments to the Statute in accordance with regulations

Search at International Airport Sarajevo premises by order of POSKOK

(Patria) - Under the supervision of the acting federal prosecutor from the Special Department of the FBiH Federal Prosecutor's Office, members of the Federal Police Administration began searching and temporarily seizing items from the business premises used by the legal entity J this morning.

In this regard, the Airport issued a statement, stating that during the search, certain original documentation was temporarily seized, which, according to them, had already been previously submitted in copy.

The Airport clarified that the search relates to the process of amending the Company's Statute, and that all necessary materials have been made available to the investigative bodies.

"Among other things, as part of the search, documentation that J.P. International Airport Sarajevo d.o.o. previously submitted on 10.02.2025 to the Ministry of Internal Affairs of Sarajevo Canton, Police Administration - Criminal Police Sector, following an anonymous report, will also be taken.

Furthermore, documentation from 2022 and 2024, relating to the work of the then management and previous amendments to the Statute, will be secured in order to determine all circumstances related to the Airport's procedures to date.

We wish to emphasize that the latest amendments to the Statute were adopted in full accordance with the prescribed procedure. The Company's Management drafted the amendments to the Statute, submitted them to the Supervisory Board, which then forwarded them to the Company's Assembly for final adoption.

The Company's Assembly, with the consent of the relevant ministry of the Government of the Federation of Bosnia and Herzegovina, adopted the amendments to the Statute at the session held on 10.09.2025.

The Supervisory Board of J.P. International Airport Sarajevo d.o.o. is appointed by the Government of the Federation of Bosnia and Herzegovina, upon the proposal of the Federal Ministry of Transport and Communications, while the Government of FBiH also appoints the members of the Company's Assembly. These institutions were involved in the entire procedure of amending the Statute, in accordance with legal regulations.

We consider it important to point out that this is not a precedent. Amendments to the Statute were also made in the past, and they were carried out in accordance with all relevant procedures and with the consent of the competent institutions.

Regarding the appointment of acting members of the Company's Management, we point out that Article 247, paragraph (7) stipulates that the procedure for appointing and dismissing the supervisory board and other issues related to management in companies with state capital participation are regulated by the Decree on the Exercise of Powers of FBiH Bodies in Business Companies with State Capital Participation.

Article 15, paragraph (1) of the Decree on the Exercise of Powers in Business Companies with State Capital Participation within the competence of the Federation stipulates that, exceptionally, without conducting a tender procedure, the Government of the Federation may adopt a Decision on giving prior consent to the competent body of the company with majority state capital participation for the dismissal of a management board member and a Decision on giving prior consent to the competent body of that business company for the appointment of an acting management board member until the tender procedure is completed, for a maximum period of twelve months from the date of entry into force of the Decision of the competent body of the company.

In accordance with the aforementioned article of the Decree, the Government of the Federation of Bosnia and Herzegovina adopted on 19.11.2024 a Decision on giving prior consent for the dismissal of the members of the then Management and the appointment of new acting members of the Management - director and executive directors of J.P. International Airport Sarajevo d.o.o. Sarajevo.

Article 15, paragraph (2) of the Decree stipulates that the competent body of a business company with majority state capital participation is obliged to make a decision on dismissal and a decision on appointing acting members of the Management within 15 days.

In accordance with the aforementioned legal and sub-legal provisions, the Supervisory Board made a decision on appointing new acting members of the Management - director and executive directors of J.P. International Airport Sarajevo d.o.o. Sarajevo.

J.P. International Airport 'SARAJEVO' d.o.o. remains at the disposal of the competent institutions for all necessary cooperation and action in accordance with the law," the statement reads.
