(Patria) - Opposition representatives have requested a special session of the House of Representatives of the Parliament of FBiH to discuss the announced BH Telecom acquisition of Telemach.
A total of 21 representatives from the Party of Democratic Action (SDA), the Democratic Front (DF), and the club of independent representatives signed the request for convening the session.
They submitted the request to the protocol of the House of Representatives of the Parliament of FBiH, and the agenda would include only one item with the following title:
"Information on the Decision to approve the acquisition of shares in Telemach BH Društvo za pružanje usluga u oblasti telekomunikacija d.o.o Sarajevo and Telemach Crna Gora d.o.o. Podgorica, by BH Telecom d.d. Sarajevo, along with information on the Decision to indebt BH Telecom d.d. Sarajevo with a group of banks for the said acquisition."
In their justification for convening the session, the representatives stated the urgent need for parliamentary oversight of the potentially harmful operations of a company majority-owned by the Federation of BiH.
The reasons are as follows:
• Extreme Indebtedness: BH Telecom plans a credit debt of 745 million KM, which, with interest, would burden the company with over 1.1 billion KM. This amount represents the largest investment in the company's history, and the credit is planned to be repaid over the next 50 years;
• Lack of Transparency in the Process: Negotiations for the purchase of Telemach are being conducted without adequate information to the public and the Parliament of FBiH. Given that the extraordinary Shareholders' Meeting of BH Telecom is scheduled for March 24, 2026, to make a final decision, it is imperative for Parliament to react immediately and be properly informed to protect the interests of the Federation of BiH in a vitally important federal company;
• Economic Unjustification: There is a justified doubt about the project's profitability, as an investment of over one billion KM is planned in a company (Telemach) with an annual profit of only around 20 million KM, which would mean a payback period of half a century;
• Endangering Strategic Development: Such high indebtedness would directly jeopardize BH Telecom's ability to invest in key technologies such as the 5G network, thus risking its long-term market position and the value of state capital.
"Given the above, we believe this is a matter of the highest public interest that cannot wait for the regular procedure. We demand that the Government of FBiH and the Management of BH Telecom provide all relevant documentation to the representatives before the session is held," the representatives stated in their request.
