Due to conflict of interest, Kepeš prevented Elektroprivreda BiH Supervisory Board from convening a General Assembly

(Patria) - The current Supervisory Board of Elektroprivreda BiH did not convene a Shareholders' Assembly for the company. The reason: candidate for the president of the new Supervisory Board of EP BiH, Adis Kepeš, is in a conflict of interest, even though the FBiH Government gave prior consent for his appointment.

Kepeš is, in fact, the director of the company Star Line Sarajevo and while holding that position, he cannot be a member of the Supervisory Board of another business entity, writes Istraga.ba.

Otherwise, the situation in the Zenica Mine was used for the FBiH Government to give prior consent for the dismissal of the current management of Elektroprivreda BiH, as reported by Istraga.

First, the FBiH Government asked Elektroprivreda BiH to pay the miners' salaries in Zenica from its account, given that the mine's account was blocked. The management of EP BiH refused, stating that it would be illegal. Then, the Miners' Union, led by Sinan Husić, stepped in and officially requested the dismissal of the EP BiH management from the FBiH Government.

Nermin Nikšić's Government made a decision on Wednesday and gave the Supervisory Board of Elektroprivreda BiH prior consent to dismiss the Management and appoint a new general and new executive directors. Mirsad Kukić and his PDA received two positions in the management. We will return to the details later. For now, briefly, about the procedure.

In order to dismiss the management of any joint-stock company or public enterprise, the supervisory board, where shareholder representatives sit, must make a decision on dismissal. The members of the supervisory board are appointed by the shareholders' assembly. In the case of Elektroprivreda BiH, the Federation of Bosnia and Herzegovina owns 90 percent of the shares, while about 10 percent belongs to small shareholders. The Supervisory Board of EP BiH still includes: Dr. sci. Izet Žigić, President of the Supervisory Board (FBiH), Dr. sci. Safet Isić, Member of the Supervisory Board (FBiH), Dr. sci. Milenko Obad, Member of the Supervisory Board (FBiH), Selvedin Subašić, Member of the Supervisory Board (FBiH), Dr. sci. Admir Softić, Member of the Supervisory Board (FBiH), Muhidin Zametica, Member of the Supervisory Board (FBiH), Ivan Gržić, Member of the Supervisory Board (small shareholders).

The mandate of most members of this Supervisory Board expires at the end of August this year. In order for new members of the Supervisory Board of Elektroprivreda BiH to be appointed, it is necessary for a Shareholders' Assembly of JP EP BiH to be held. The Assembly has not yet been formally convened, and according to Istraga's information, it should be done by the end of this week.

At the convened session, the FBiH Government will authorize the representative of its capital (90 percent of shares) to vote for six new members of the Supervisory Board of Elektroprivreda BiH. The FBiH Government has already given prior consent for the appointment of new acting members of the Supervisory Board. Namely, at the session held on July 18, the FBiH Government gave prior consent for the appointment of Adis Kepeš, Damir Okanović, Vedran Kaser, Milenko Obad, Idham Kruška, and Edin Hamzić as acting members of the Supervisory Board of this business entity, on behalf of state capital, until the completion of the tender procedure.

And now, let's return to the personnel solutions. Nermin Nikšić's Government, therefore, gave prior consent for the appointment of Adis Kepeš as acting president of the Supervisory Board of Elektroprivreda BiH. Kepeš is the first cousin of Nijaz Skenderagić and has been the director of Mercedes-Benz Star Line Sarajevo in recent years. Nijaz Skenderagić is the owner of Star Line.

How did a car dealer end up in Elektroprivreda BiH? The answer to this question should be sought in Bosnalijek. Namely, Nijaz Skenderagić owns 2.4 percent of Bosnalijek shares and is a key figure in that company, as his shares are crucial in the struggle between two groups of shareholders (Nedim Uzunović – the first, AS Grupa – the second) fighting for dominance.

As we have previously reported, Federal Prime Minister Nermin Nikšić is behind Nedim Uzunović. Nijaz Skenderagić joined Uzunović in the struggle between the two groups in Bosnalijek. Bosnalijek then initiated procurement processes from Star Line, where Adis Kepeš is the director.

The FBiH Government, led by Nermin Nikšić, also decided to appoint Skenderagić's cousin – Adis Kepeš – as the president of the Supervisory Board of Elektroprivreda BiH.

The management of Elektroprivreda BiH consists of seven members – a general director and six executive directors. According to the distribution among the Trojka coalition, four positions (the general director and three executive director positions) went to SDP, two positions should go to NiP, and one to Naša stranka. However, SDP BiH and NiP decided to give two positions to Mirsad Kukić, i.e., the PDA party from Banovići, which has only one representative in the House of Representatives of the FBiH – Elzina Pirić.

The FBiH Government, therefore, on Wednesday gave prior consent for the appointment of acting management – Sanel Buljubašić (General Director), Fahrudin Tanović (Production Director), Amra Ohranović (Director of Legal Affairs and Human Resources), Harun Gadžo (Director of Capital Investments), Edisej Sjerotanović (Distribution Director), Nevad Ikanović (Supply and Trade Director), and Sanela Jurišić (Executive Director for Economic Affairs).

Mirsad Kukić thus obtained the position of Director of Supply and Trade (Nevad Ikanović), through which the entire sale of electricity on the international market is conducted. Earlier, the media reported on the business connections of Mirsad Kukić and Serbian businessman Vuk Hamović in the electricity market.

The Executive Director for Economic Affairs, Sanela Jurišić, is the president of the Women's Association of PDA Tuzla. However, this is not so controversial. Sanela Juršić is the cousin of Omer Delalić, the owner of the Tuzla-based company Deling, which also operates within the electro-energy sector in the Federation of Bosnia and Herzegovina.

The Executive Director for Legal Affairs and Human Resources is Amra Ohranović. She is the wife of Muhamed Ohranović, a member of FUP and coordinator of the escort for Federal Prime Minister Nermin Nikšić.

Edisej Sjerotanović, Executive Director for Distribution, is a former member of SBB who moved to NiP. Sjerotanović was a key witness in the "Bosna" operation, after which former high-ranking SDA officials – Mirsad Kukić, Amir Zukić, and Asim Sarajlić – were prosecuted.

The FBiH Government has given consent for Sanel Buljubašić, an employee of "Vodovod i kanalizacija" in Srebrenik, to be appointed as the General Director of Elektroprivreda BiH. Buljubašić is a mechanical engineer. He briefly served as the Mayor of Srebrenik Municipality but resigned, not wanting to deal with the pressures.
